IMPORTANT: By submitting a bid and/or advertising content to BidsABillion, you agree to these Terms of Service. We reserve the right to refuse service to anyone for any reason at any time.
1. ACCEPTANCE OF TERMS
By submitting a bid and/or advertising content to BidsABillion, you agree to these Terms of Service. We reserve the right to refuse service to anyone for any reason at any time.
2. PROHIBITED CONTENT
2.1 Strictly Prohibited - Immediate Rejection & Refund
Your advertising image may NOT contain:
Illegal Content:
- Illegal drugs, drug paraphernalia, or controlled substances
- Weapons, firearms, ammunition, or explosives
- Stolen goods or counterfeit products
- Hacking tools, malware, or exploits
- Any content illegal under US federal or Nevada state law
Adult/NSFW Content:
- Nudity, sexual content, or pornography
- Adult services (escort services, prostitution, sexual services)
- Suggestive imagery or sexually charged content
- Adult entertainment platforms (cam sites, OnlyFans-style, adult content subscriptions)
- Dating platforms explicitly marketed for casual sex or hookups (e.g., Adult Friend Finder)
NOTE: Mainstream dating services are ALLOWED, including: First Base Date, Speed Dating Las Vegas, Match.com, eHarmony, Bumble, Tinder, Hinge, and similar professional matchmaking platforms.
Harmful Content:
- Violence, gore, or graphic injury
- Hate speech, discrimination, or bigotry
- Terrorism, extremism, or violence advocacy
- Self-harm, suicide, or eating disorder promotion
- Harassment, doxxing, or personal attacks
- Child exploitation in ANY form
Scams & Fraud:
- Ponzi schemes, pyramid schemes, or MLMs
- Get-rich-quick scams or unrealistic income claims
- Fake cryptocurrencies or rug pull projects
- Phishing, malware, or social engineering
- Misleading health/medical claims
- Impersonation of individuals or brands
- Fake reviews or testimonials
Regulated Without Verification:
- Cannabis products (even in legal states)
- Tobacco, cigarettes, or vaping products
- Alcohol without proper licensing
- Pharmaceuticals or prescription drugs
- Unregulated financial services
- Medical devices without FDA approval
2.2 Requires Pre-Approval
The following categories require review and approval before acceptance:
- Cryptocurrency/Blockchain: Must provide project whitepaper, team information, audit reports
- NFT Collections: Must provide collection details, roadmap, team background
- Financial Services: Must provide license numbers, regulatory compliance proof
- Health & Wellness: Must provide FDA approval or legitimate product certification
- Political Content: Must be legitimate campaigns or registered organizations
3. IMAGE REQUIREMENTS
3.1 Technical Standards
- Format: JPG or PNG only
- Dimensions: Must be exactly 1024×1024 pixels (square aspect ratio)
- Quality: High resolution required - no pixelation or blurriness
- File Size: Maximum 10MB
- Content: Static images only (no animations, GIFs, or videos)
📐 SIZE SPECIFICATION: Each advertising spot is exactly 1024×1024 pixels (1k × 1k). The final NFT montage will be 10,240×10,240 pixels (10k × 10k), containing 100 ads in a 10×10 grid. Images must be exactly 1024×1024 - no larger, no smaller.
3.2 Content Standards
Your image MUST:
- Be original content or properly licensed
- Display clear, professional branding
- Be high quality and not pixelated
- Maintain proper aspect ratio (no stretching/distortion)
- Have readable text (if included)
Your image MUST NOT:
- Infringe copyright or trademarks
- Contain excessive text (keep it simple)
- Be blurry, low quality, or amateur
- Include third-party watermarks
- Contain flashing/strobing effects
- Use misleading or deceptive imagery
4. INTELLECTUAL PROPERTY
4.1 Your Rights
You represent and warrant that:
- You own all rights to the submitted image
- OR you have proper licenses for all content
- Your image doesn't infringe any third-party rights
- You have authority to advertise for the company/brand
4.2 Our Rights
By submitting content, you grant BidsABillion:
- License to display your image in the montage
- Right to mint the montage as an NFT
- Right to sell the NFT at auction
- Right to display the montage for promotional purposes
5. BIDDING & PAYMENT
5.1 Bid Rules
- Minimum bid: $100 USD
- Bids are binding once payment is received
- Position determined by bid amount (highest = A1)
- If outbid, you retain next available position
- Bids can be increased anytime before montage completion
5.2 Payment
- Payment due within 24 hours of bid submission
- Accepted methods: Crypto, Credit Card (Stripe), PayPal
- Cryptocurrency payments non-refundable
- Failed payments = bid cancellation
5.3 Refund Policy
Refunds available:
- If we reject your content (full refund)
- If technical issues prevent inclusion (full refund)
No refunds:
- After montage completion
- After NFT minting
- If you change your mind
- For cryptocurrency payments (blockchain immutable)
- If outbid (you keep next available position)
6. NFT MINTING & AUCTION
6.1 Process
Once montage reaches 100 participants:
- Final montage generated
- Minted as NFT on Ethereum blockchain
- Listed for auction on OpenSea
- Auction runs 7-14 days
- Revenue distributed (see 6.2)
6.2 Revenue Distribution
- Advertising Revenue: Kept by BidsABillion (your bid amount)
- NFT Auction Revenue: Kept by BidsABillion (initial sale)
- NFT Resale Royalties: 5% to BidsABillion, 95% to NFT owner
6.3 Your Benefits
As an advertiser, you receive:
- Permanent placement in the NFT
- Blockchain-verified position
- Historical record of participation
- Ongoing exposure as NFT trades
- Association with collectible digital art
You do NOT receive:
- Ownership of the NFT (it's auctioned)
- Percentage of auction revenue
- Rights to reproduce the montage
- Individual NFT of your logo
7. CONTENT MODERATION
We reserve the right to:
- Review all submissions before acceptance
- Reject any content for any reason
- Remove content after acceptance if issues arise
- Request changes or improvements
- Verify claims made in advertisements
- Investigate suspicious activity
8. PLATFORM RULES
8.1 OpenSea Compliance
All content must comply with OpenSea's Terms of Service. If OpenSea delists our NFT due to your content, you are liable for all damages.
8.2 Netlify/Hosting Compliance
Content must comply with web hosting terms of service.
10. DISCLAIMERS
10.1 No Guarantees
We do NOT guarantee:
- Specific NFT auction price
- Ongoing value of NFT
- Advertising effectiveness
- Specific positioning (if outbid)
- OpenSea listing approval
- Specific completion date
10.2 No Investment Advice
- Participating is NOT an investment
- We make no claims about NFT value
- You may lose your entire bid amount
- Cryptocurrency is volatile and risky
12. LIMITATION OF LIABILITY
12.1 Maximum Liability
Our total liability is limited to the amount you paid (your bid).
12.2 No Consequential Damages
We are NOT liable for:
- Lost profits or revenue
- Business interruption
- Reputational damage
- Emotional distress
- Indirect or consequential damages
14. DISPUTE RESOLUTION
14.1 Governing Law
These Terms are governed by Nevada state law and US federal law.
14.2 Arbitration
Disputes must be resolved through binding arbitration in Clark County, Nevada.
14.3 Class Action Waiver
You waive the right to participate in class action lawsuits.
19. ACKNOWLEDGMENT
By submitting a bid, you acknowledge:

- ✅ I understand my bid may be rejected
